Standard terms for consultancy and training work.
This version has been rebranded to First Response Dementia Services and aligned with the booking model used on the website.
1. Parties
This agreement is between First Response Dementia Services and the client organisation named in the booking confirmation, proposal or email correspondence.
2. Services
First Response Dementia Services provides consultancy and training relating to dementia behaviour support, behavioural formulation, care planning and related staff development. Services may be delivered virtually, by telephone, in writing or on site as agreed.
3. Scope of service
The service provides consultancy and training support only. It does not provide direct clinical treatment, emergency response, diagnosis, prescribing or medical advice to individual residents. The client remains responsible for clinical decision-making, local governance, risk management, safeguarding and implementation within its own service.
4. Deliverables
Depending on the agreed service, the client may receive written behavioural formulation, person-centred care recommendations, practical care planning guidance, training materials or service improvement outputs.
5. Fees and payment
- All fees are agreed in advance and confirmed in writing
- Each new booking begins with a free 30-minute consultation
- If the client wishes to proceed, scope, fee and timescale are agreed following that consultation
- Payment is required in full to confirm the booking, unless otherwise agreed in writing
- Work is not confirmed and the timescale does not start until payment has been received
6. Cancellations and postponements
- More than 28 days' notice, no cancellation fee and any advance payment is refunded
- 14 to 28 days' notice, 50% of the agreed fee may be retained or charged
- Within 14 days, 100% of the agreed fee may be retained or charged
Where possible, an alternative date may be offered at discretion, but that does not remove the right to charge in line with the cancellation terms.
7. Client responsibilities
The client agrees to provide accurate and relevant information, ensure that all case materials are anonymised before submission, nominate an appropriate point of contact, and remain responsible for any local adaptation or implementation of written outputs.
8. Anonymisation and data minimisation
The service is intended to operate on anonymised information wherever reasonably possible. The client must not send identifiable patient information unless explicitly agreed in advance and strictly necessary. If identifying material is received in error, First Response Dementia Services may request redacted replacement documents before work continues.
9. Confidentiality
Each party will keep confidential information secure and will not disclose it to unauthorised third parties except where required by law or where disclosure is necessary for legitimate business, safeguarding, insurance or regulatory purposes.
10. Limitation of liability
Reasonable skill and care will be used in delivering the agreed work. Responsibility for resident care, staffing, implementation, medication decisions and local governance remains with the client.
11. Intellectual property
Training materials, templates and written resources remain the intellectual property of First Response Dementia Services unless expressly agreed otherwise in writing.
12. Governing law
This agreement is governed by the law of England and Wales.
